4. Course Content and Intellectual Property

Ownership: All content provided as part of our Services, including but not limited to course materials, text, graphics, logos, images, videos, software, and curricula (“Course Content”), is the property of XRobotics (Pty) Ltd or its licensors and is protected by South African and international copyright, trademark, and other intellectual property laws.

Limited License: Upon successful registration and payment for a course, XRobotics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Course Content solely for your personal, non-commercial educational purposes related to the specific course for which you have enrolled.
- 4.3. Restrictions: You may not:
- Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Course Content, except as an integral part of your permitted use of the Services.
- Use any Course Content for commercial purposes or for the benefit of any third party.
- Remove or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website or Course Content.

5. User Accounts

- 6.1. Fees: Fees for our courses and Services are set out on our Website and are subject to change. All fees are quoted in South African Rand (ZAR) unless otherwise specified.
- 6.2. Payment: You agree to pay all applicable fees for the courses you select. Payments are processed through our third-party payment processors.
- 6.3. Non-Refundable Policy: The first month’s fee for any online course subscription or the initial payment for a fixed-term course is non-refundable. For ongoing subscriptions, you may cancel your subscription according to the terms specified at the time of purchase, but no refunds will be provided for the current billing period or the initial month. For onsite training, specific refund policies will be communicated at the time of registration.
- 6.4. Taxes: You are responsible for paying all applicable taxes associated with your purchase of our Services.
7. Disclaimers and Limitation of Liability
- 7.1. No Affiliation with Brands: XRobotics (Pty) Ltd is an independent entity. Any mention of third-party brands, products, software, or tools within our Course Content is for educational and illustrative purposes only. We are not affiliated with, endorsed by, or sponsored by any such brands unless explicitly stated.
- 7.2. No Guarantee of Employment or Career Advancement: While our courses are designed to enhance your skills and knowledge in robotics, XRobotics makes no guarantee, express or implied, of employment, job placement, or career advancement as a result of completing our courses. Success in any career path depends on various factors, including individual effort, experience, and market conditions.
- 7.3. “As Is” Provision of Services: Our Website and Services, including all Course Content, are provided on an “as is” and “as available” basis without any warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, secure, or that defects will be corrected.
- 7.4. Internet Connection: Access to online courses and some features of our Services requires a stable internet connection. You are solely responsible for obtaining and maintaining the internet connection and any equipment or software necessary to access our Services, and for any costs associated therewith.
- 7.5. Changes to Online Sessions: Online weekly sessions, tutorials, or support sessions associated with our courses are subject to change or cancellation without prior notice due to instructor availability, technical issues, or other factors. XRobotics (Pty) Ltd shall have no liability whatsoever for any loss, inconvenience, or damages you may suffer as a result of such changes or cancellations.
- 7.6. Onsite Training Venue and Schedule: Onsite training classes are generally hosted in Johannesburg. However, the specific venue, dates, and times are subject to change or postponement based on factors including, but not limited to, the number of enrolled students, venue availability, instructor availability, or unforeseen circumstances. We will endeavor to provide reasonable notice of any such changes. XRobotics (Pty) Ltd is not responsible for any travel, accommodation, or other expenses incurred by you in relation to onsite training.
- 7.7. Limitation of Liability: To the fullest extent permitted by applicable law, XRobotics (Pty) Ltd, its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- (a) your access to or use of or inability to access or use the Services;
- (b) any conduct or content of any third party on the Services;
- (c) any content obtained from the Services; or
- (d) unauthorized access, use, or alteration of your transmissions or content. In no event shall XRobotics’ aggregate liability for all claims relating to the Services exceed the amount paid by you to XRobotics for the specific Service to which the claim relates in the 12 months preceding the claim.
8. User Conduct
You agree not to use the Website or Services for any unlawful purpose or in any way that could harm XRobotics or any third party. Prohibited conduct includes, but is not limited to:
- Violating any applicable local, national, or international law or regulation.
- Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
- Transmitting any material that is abusive, harassing, defamatory, obscene, fraudulent, or otherwise objectionable.

- Attempting to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks.
9. Termination
We may terminate or suspend your access to our Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us.
Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Johannesburg, South Africa, in accordance with the Rules of the Arbitration Foundation of Southern Africa (“AFSA”) by one arbitrator appointed in accordance with the said Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.
11. General Terms
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and XRobotics (Pty) Ltd regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
- Waiver: No waiver by XRobotics of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
- Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without XRobotics’ prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. XRobotics may assign or transfer these Terms, at its sole discretion, without restriction.
- Notices: Any notices or other communications provided by XRobotics under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Website.
